Proposed Changes to CPNO Bylaws – These will be voted on at the monthly members meeting, February 19, 2024.
#1 Changes to be compliant with state law.
Section 4. Notice of Meetings, change “five days before the meeting date” to “ten” days before the meeting date.”
Section 5. Previous Notice of Motions, Section (b) Manner of Notice, change “at least five days before the meeting date” to “at least five days or as required by law before the meeting date.”
#2 Voting – allow for voting outside of regular meeting times.
Renumber Section 9. Proxy Voting, as Section 10. Proxy Voting and add a new Section 9 as follows.
Section 9. Voting. Any matter shall be decided by the affirmative vote of the majority of the Members who cast a vote on the matter.
- Each Member shall be entitled to one vote;
- The voting period for all matters subject to Section 5 notice requirements (“Substantive Motions”) shall remain open for two calendar days beyond any Annual, Regular, or Special Meeting where the matter was introduced (“Voting Period”). However, with adequate advance notice and for good cause shown, the Board may shorten the Voting Period by one calendar day, or even further in exceptional circumstances, if it determines that the matter is time-sensitive;
- All votes on Substantive Motions shall be certified as determined by the Board and shall include a verification by the Membership Officer or other Board designee that the Members of record for said vote is accurate and complete.
#3 Instant registration – allow for members to vote with no delay between joining or renewing.
Change the date in Section 6. Record Date, to “the record data shall be the day of any Annual, Regular, or Special Meeting.” Currently this section is:
Section 6. Record Date. Only Members of record on the Record Date shall be entitled to notice of a Regular Meeting, to demand a Special Meeting, to vote, or to take any other action. Unless the Board of Directors orders otherwise, the Record Date shall be the first day of each month.
